Confidential Disclosure
A major role of the University is to disseminate information. Occasionally, the disclosure of certain information can have significant consequences with respect to obtaining patents and other forms of intellectual property. Also, the University is sometimes entrusted with proprietary information of third parties who will disclose their information to the University only if confidentiality is maintained.
To protect confidential information of the University, the University requires that Confidential Disclosure Agreements be completed by the recipient of the information. The agreement may need to be specifically drafted for the particular situation or if both parties to the agreement are disclosing confidential information.
The Confidential Disclosure Agreement will be prepared by the Office of Technology Management and Commercialization and must be signed by both an appropriate representative of the recipient organization and an appropriate representative of Utah State University. The individual University employees actually sharing information or receiving information shall co-sign with any University representative.
A Request for Protected Record Status is available for businesses providing confidential information or records to Utah State University.
